Utah Paint Horse Club – Constitution
Article I – Name
The name of this corporation is: Utah Paint Horse Club.
Article II – Purpose
The purpose of this corporation is to promote and encourage breeding, racing, exhibition and utilization of the American Paint Horse, and to provide for its members social, athletic, fraternal and recreational activities in connection herewith. The corporation may acquire, develop and utilize property both real and personal and any estate therein as may be consistent with its general purpose, and generally may do all things allowed by law for a non-profit corporation. This corporation is organized and shall be operated exclusively for non-profit purposes. No part of any net earnings shall inure to the benefit of or be distributable to any member, officer, trustee or other private persons, except the corporation shall be authorized and empowered to pay reasonable compensation for the services rendered and to make payments and distributions in furtherance of the purposes set forth in this article.
The Utah Paint Horse Club shall cover the State of Utah. The principal office of the Club shall be the address of the duly elected secretary, but business of the club may be conducted at any location convenient to the officers and Directors of the Club.
Article III – Duration
The duration of this corporation shall be perpetual.
Article IV – Membership
All owners, breeders and exhibitors of American Paint Horses as well as all other persons interested in promoting the purpose of this corporation shall be eligible for membership in the corporation.
Article V – Affiliations
This corporation shall be an affiliate of the American Paint Horse Association.
Article VI – Board of Directors
The government of the corporation shall be vested in a board of no less than three (3) and no more than fifteen (15) directors. The original number shall be nine (9) and they shall hold office and be subject to replacement in accordance with the by-laws duly adopted and effective from time to time. Unless prescribed by the by-laws cumulative voting shall be allowed. Other voting procedures and notices shall be as provided in the by-laws.
Article VII – Officers
The corporation shall have a president, vice-president, secretary and treasurer, and such other officers as shall be provided in the by-laws, with the term of office and eligibility thereof as in said by-laws.
Article VIII – Limitation of Liability
No officer, director or member of the corporation shall be liable for any of the debts, liabilities or obligations arising out of the business of or association with the corporation, except by operation of law elsewhere provided.
Article IX – Prohibited Activities
No substantial part of the activities of the corporation shall be the carrying on of political propaganda, or directly attempted to influence general legislation. The corporation may incidentally, support the horse industry solely or in connection with other organizations where it is consistent with the purpose of this corporation.
Article X – Changes in the Constitution and By-Laws
Changes in the constitution and by-laws may be made at any special or regular meeting, by a majority of the votes cast. Notice of proposed change or changes shall be mailed to the members by the secretary no less than ten (10) days before, and not more than thirty (30) days before the meeting.
Article XI – Resignations and Dissolution
All resignations must be made in writing and addressed to the secretary. No member can resign while he is in debt to the corporation. The corporation may be dissolved at any time with the written consent of not less than two-thirds of the members. After paying off all debts and liabilities of the corporation, its assets shall be dispensed to an equine health group.
Article XII – Rules
The Board of Directors is responsible for establishing the rules consonant with the Constitution and By-Laws for the general administration of the business of the club. The rules shall be published and distributed to the members with revision published when sufficient changes to the rules warrant a new publication. In any conflict between the Constitution and By-laws of the Club and the Rules and By-laws or the American Paint Horse Association, the Rules and By-laws of the American Paint Horse Association will govern.
Article XIII – Discipline
Disciplinary action to any member shall be taken by the Board of Directors as laid out in the American Paint Horse Association rule book. Anyone suspend by the American Paint Horse Association is automatically suspended by the Utah Paint Horse Club.
Utah Paint Horse Club – By Laws
Article I – Membership
Membership shall not be limited to individuals but may include corporations, partnerships, executors, trustees, and institution of learning. Membership shall not be transferable or assignable. All adult members while in good standing, shall have equal rights, interest, and responsibilities with respect to the club, shall have the right to one (1) vote in person or by mail ballot postmarked prior to set deadline, or by electronic voting, whichever is in accordance with the election procedures of any and all UPHC elections, and to hold office and committee assignments, except as otherwise limited. Whenever in these by-laws the term member or members shall be used, unless otherwise specified it shall mean a member or members in good standing.
The UPHC will employ APHA membership rules, with the exception that memberships become due after January 1 each year and expire on December 31 of the same year. Youth/UjPHC membership is available to unmarried youths eighteen (19) years of age or younger. A birth date must be submitted at the time of application for membership. A birth certificate may be required to verify age if any question arises. Youth/UjPHC membership must be purchased under one individual’s name. Youth memberships are considered non-voting UPHC memberships.
Any member who shall fail to comply with the requirements of these by-laws or club rules and regulations shall be subject to disciplinary action by the Board of Directors.
Article II – Dues
The Board of Directors may determine from time to time the amount of membership fees. The membership fees provided for in this section shall continue until such a time as the Board of Directors adopts a resolution changing the amount of the fees. All such fees shall be payable at such time as an individual wishes to become a member. Dues become due after January 1 each year.
Article III – Directors
The management of the club shall be vested in a Board of no less than three (3) and no more than fifteen (15) directors. The number of directors may be changed by the Board of Directors whenever considered advantageous to the Club. The terms of office for the directors shall consist of a mix of one year, two year, and three year terms. The past president will serve as a director at large if he is not an elected director. If such provision is exercised in any such year the number of directors will increase by one (1). All Board Members must be current members in good standing of the Utah Paint Horse Club and the American Paint Horse Association for the duration of their term.
Western Regional Zone II Directors: The rules for electing Directors for Zone 2 shall be the same as those for electing Directors for the Utah Paint Horse Club and shall be included on the same ballot. In accordance with Western Regional Zone II By-Laws, there shall be 3 directors from the State of Utah. These Directors must be members in good standing of the American Paint Horse Association and the Utah Paint Horse Club. There shall be one Director elected each year from the general membership and they will serve for a term of three years.
Article IV – Officers and Duties
OFFICERS: The officers of the club shall be president, vice-president, secretary and treasurer. Other such officers may be authorized by the Board of Directors from time to time. Officers shall hold office for a period of one year and until their successors are elected.
PRESIDENT: Shall preside at meetings appoint committees and perform all other duties pertaining to the office. The president shall only vote in case of ties. He shall see that the by-laws, rules, and regulations of the Club are enforced.
VICE-PRESIDENT: Shall preside in the absence of the president and shall perform such duties as prescribed by the president and succeed the President should the office be vacated prior to the regular election of a successor.
SECRETARY: Shall be directly responsible to the president of the Club for the operation of the business office. Shall cause to be kept all the records and minutes of the official meetings of the Club, cause to be made any reports to the general membership and conduct the correspondence of the Club. The books of the secretary shall be open to inspection at all times.
TREASURER: Shall be directly responsible to the president for the proper management of all monies and property of the Club and will prescribe the necessary record keeping to meet the requirements of the club. Shall submit records for an annual audit by an outside auditor (one not a Club member). The books of the treasurer shall be open to inspection at all times. The treasurer shall submit a Treasurer Report at the annual membership meeting.
Article V – Elections
ELECTION OF DIRECTORS: The president shall appoint a nominating committee, the members of which shall be announced publicly at least sixty (60) days prior to the annual membership meeting and elections. The nominating committee shall prepare a recommended slate for election of the directors and prepare a ballot, leaving space for write-ins for each directorship to be filled in addition to the names presented. Notice of the membership meeting shall be given by mailing a notice to the last known address of each adult member in good standing and/or made available by publishing online at the Utah Paint Horse Club website. Said notice shall be mailed or published no less than ten (10) or more than fifty (50) days prior to the date of such election meeting. The elections shall be held annually on the date to be agreed upon by the Board of Directors. Ballots must be returned according to the UPHC director election procedures for written or electronic ballots.
The new directors will be installed at the annual membership meeting.
Any Director may be dismissed from the Board and replaced for the unexpired term by majority vote of the Board of Directors present if he/she (1) fails to attend at least 1/2 of the UPHC Directors meetings held per 12 month period, and/or (2) is absent from three consecutive meetings per 12 month period. The terminated director will be notified in writing of the action taken.
All vacancies in the positions of officers and directors of the club shall be filled by an appointment of the Board of Directors for the unexpired term. Such appointments shall be awarded to the individual receiving the next highest number of votes for the position vacated in the applicable year’s election. If no person is eligible under these terms, then the vacancy shall be filled by appointment of the Board of Directors and those so appointed shall serve until the election and acceptance of their successors.
STANDING COMMITTEES: The Utah Paint Horse Club shall have the following standing committees: (A) Judges, (B) Show, (C) Amateur/Novice Amateur, (D) Futurities, (E) Stallion Service Auction , (F) Youth, (G) PAC, (H) Directory, (I) Awards, (J) Historian, (K) Publicity. The committee chair and members of the committee shall be appointed by the president for a one year term.
Article VI – Meetings
REGULAR MEMBERSHIP MEETINGS: A general membership meeting shall be held annually for the purpose of electing and installing directors and for the transaction of such other business as may be brought before the meeting. If special topics are to be discussed and/or voted on, members shall be notified of these topics.
SPECIAL MEETINGS: Special meetings of the membership may be held at such time and place as may be designated in the notice whenever called in writing by direction of the president or by a majority of the Board of Directors or by notice signed by not less than twenty per cent (20%) of the members. Notice of each special meeting indicating briefly the object or objects thereof shall be given in the same manner as provided with respect to notice of annual meetings. Only business listed on the agenda can be discussed or voted on at this special meeting. Any officer of the club may call the meeting of the members to order and may act as chairman of such meeting, precedence being given as follows: president, vice-president, secretary, treasurer. In the absence of all such officers, members present may elect a chairman. The secretary of the club shall act as the secretary of all meetings of the members, but in his or her absence, the directors may appoint any person to act as secretary of the meeting.
BOARD OF DIRECTOR MEETINGS: Board of Directors meetings shall be held at a time and place set by the president or by a majority of the directors. These meetings shall be open to any member wishing to attend. At meetings of the Board of Directors, business shall be transacted in such an order as the Board may determine. At any meeting of the board, a majority shall constitute a quorum. Voting for the transaction of business may be done by mail or conference call if it is not practical to have a physical meeting of the Board of Directors.
Article VII – Amendments
These by-laws may be amended at any official annual meeting by an affirmative vote, written ballot, of a majority of the votes cast. Proposed amendments shall be sent in writing to the secretary so that they can appear on the notice of the annual meeting.
Utah Paint Horse Club – Rules Of Order
The revision of the UPHC Rules of Order includes actions adopted by the Board of Directors through January 1, 2020.
1.0 YEAR END AWARDS
1.1 Approved shows for year end awards are those within the state of Utah approved by the Utah Paint Horse Club Board of Directors. Out of state shows may be approved by a majority vote of the general membership.
1.2 Any class that is not offered at shows at least ½ plus 1 of the judges offered for the year will not be eligible for a year end award. Any class that is offered split, but is combined for ½ plus 1 of the judges offered will be eligible for a year end award for the combined class only. Any class that is offered combined but is split for ½ plus 1 of the judges offered will be eligible for year end awards in both split classes.
1.3 UPHC will give a Champion and Reserve Champion award in each UPHC eligible class.
1.4 To be eligible for class year-end awards three criteria must be met. (1) Horse’s owner and exhibitor must be a current member in good standing of the UPHC. Points will be accumulated from the date UPHC membership is paid. (2) An exhibitor/horse must show at a minimum of 4 approved shows within the state of Utah and (3) earn a minimum of 10 points in the approved UPHC class.
1.5 UPHC will give an award to the High Point and Reserve High Point Halter Stallion, Mare, and Gelding.
a. Grand Champions will be awarded 2 points more than any horse in their respective sex divisions toward this award.
b. Reserve Grand Champions will be awarded 1 more point than any horse in their respective sex division toward this award.
1.6 UPHC will give an Open High Point Performance Horse and Reserve High Point Performance Horse Award. Eligibility requirements for High Point Performance Horses shall be as follows:
a. Owner and exhibitor is a member in good standing of the UPHC. Points will be accumulated from the date UPHC membership is paid.
b. Horse must show at a minimum of three (3) approved shows within the state of Utah
c. Horse must exhibit in a minimum of four (4) classes and earn a minimum of 10 points in each class.
d. Halter will count, but is not mandatory. Grand and Reserve Grand Champions will not be awarded extra points as they are competing for awards in their age level only.
1.7 UPHC will give an award for the High Point and Reserve High Point Amateur (Ages 19-44) and the High Point and Reserve High Point Masters Amateur (Ages 45 & Over). Eligibility requirements for these awards shall be as follows:
a. Horse’s owner and exhibitor must be a member in good standing of the Utah Paint Horse Club. Points will be accumulated from the date UPHC membership is paid.
b. Must show at a minimum of three (3) approved shows within the state of Utah
c. Must exhibit in a minimum of four (4) classes and must earn a minimum of 10 points in each class for this award.
d. Halter points will count towards this award but are not mandatory.
e. This award is based on one horse/one rider (APHA). Ownership of the horse must be in accordance with the current APHA rules and amateurs must have a current amateur card.
1.8 UPHC will give an award for the High Point Novice Amateur and the Reserve High Point Novice Amateur. Eligibility requirements for this award shall be as follows:
a. Horse’s owner and exhibitor must be a member in good standing of the Utah Paint Horse Club. Points will be accumulated from the date UPHC membership is paid.
b. Must show at a minimum of three (3) approved shows within the state of Utah.
c. Must exhibit in a minimum of four (4) classes and must earn a minimum of 10 points in each class.
d. This award is based on one horse/one rider (APHA). Ownership of the horse must be in accordance with current APHA rules & Novice Amateurs must have a current Novice Amateur Card.
1.9 UPHC will give an award for the High Point Youth 13 & Under and Reserve High Point Youth 13 & Under and for High Point Youth 14-18 and Reserve High Point Youth 14-18. Eligibility requirements for this award shall be:
a. Horse’s owner and exhibitor must be a member in good standing of the Utah Paint Horse Club. Points will be accumulated from the date UPHC membership is paid.
b. Must show at a minimum of three (3) approved shows within the state of Utah.
c. Must exhibit in a minimum of four (4) classes and must earn a minimum of 10 points in each class.
d. This award is based on one horse/one rider (APHA). Ownership of the horse must be in accordance with current APHA and AJPHA rules.
1.10 UPHC will give an award for the High Point Novice Youth 18 & Under and Reserve High Point Novice Youth 18 & Under. Eligibility requirements for this award shall be:
a. Horse’s owner and exhibitor must be a member in good standing of the Utah Paint Horse Club. Points will be accumulated from the date UPHC membership is paid.
b. Must at a minimum of four (4) approved shows within the state of Utah.
c. Must exhibit in a minimum of five (5) classes and must earn a minimum of 10 points in each class.
d. This award is based on one horse/one rider (APHA). Ownership of the horse must be in accordance with current APHA and AJPHA rules.
2.0 POINTS TABULATION
2.1 All classes approved by the UPHC for year-end awards shall be awarded points according to the following points chart:

2.2 Classes that are offered as split age groups whether it be for horse or rider, ie Junior/Senior or 13 & Under/18 & Under , Amateur/Masters, will be awarded points in their age category class according to the points earned in the combined class. Any class offered as a split class ( e.g. Junior/Senior, Youth 13 & Under/18 & Under) but combined for an All Age class at shows for more than half the judges offered will be awarded for the combined class only.
2.3 In the All-Age classes and the Youth 18 & Under classes, points are calculated on an all-age basis, and the total number of horses in the class is used in determining the number of points awarded.
2.4 Year end ties will be broken as follows in the order listed:
a. Total number of wins (first place placings) in the tied class.
b. Total number of times one tied horse beat the other horse when showing against each other in the tied class.
c. Number of approved shows in which the class was entered and judged.
d. Tie breaker judge (or judges) which will be chosen at the start of the show season. Recommended number of judges is three.
3.0 SHOW RULES
3.1 In order to qualify for High Point Show awards, the horse must be shown in the corresponding halter class. Example: To qualify for the High Point Youth 13 & Under award, the horse must be shown in the Youth Halter class. Novice Youth & Novice Amateur horses must be shown in the Youth or Amateur halter class. Exception: Walk Trot 5-10; no halter requirement to be eligible for the Walk Trot 5-10 High Point award.
3.2 If offered, cattle classes must be pre-entered. There must be a minimum of three (3) pre-entries or the class may not be held. Late entries may be accepted only if the pre-entries warrant holding the class.
3.3 Walk Trot 10 & Under Show & Year End awards will be based on a one horse/one rider combination.
3.4 Year End participant awards will be given to all Leadline and Walk-Trot 10 & Under exhibitors who show at a minimum of three (3) approved shows within the state of Utah. Points for Leadline classes will be awarded to the youth regardless of the horse ridden.
3.5 Walk Trot exhibitors may not enter any other performance class that calls for a lope at the show.
4.0 GENERAL RULES
4.1 Anyone having a check returned to the UPHC for any reason will be assessed a $25.00 penalty for the first offense. A second returned check in the same fiscal year will result in the UPHC membership being automatically revoked for the remainder of that year, forfeiture of all earned points, and will require that the individual or individuals pay cash when transacting business with the UPHC for a minimum of one year or until such time as determined by the Board of Directors.
4.2 Any debts owed to the UPHC must be paid on the day the debt is incurred unless special arrangements have been made. Non-payment within the specified time will result in forfeiture of year end awards, and automatic revocation of UPHC membership for the remainder of that year and until such time as that debt is paid in full. Futurity premiums earned by anyone with outstanding debts to the UPHC will be held until debt is paid in full. Attempts for recovery of funds due UPHC will be made in accordance with APHA Guidelines.
4.3 UPHC annual adult (age 19 and over) membership dues will be 35.00. Youth (age 18 and under) membership dues will be $15.00. The annual dues entitle the members to the following:
a. Eligibility for year-end awards in all divisions (Open, Youth Amateur, Novice & Walk Trot).
b. Newsletter
c. One (l) vote for each adult membership
